Template, not legal advice. These terms are a draft template for selling digital PDF guides through a merchant of record. Please have them checked before publication, in particular against Creem's buyer terms. The German section below is a summary for convenience only; if the versions differ, the English version prevails.

1. Scope and parties / Geltungsbereich und Vertragspartner

These terms apply to the digital products offered on this website by SemProg, Sharan Gangadharan, Lincolnstraße 27, 20359 Hamburg, Germany (“SemProg”, “we”).

Our products are sold through Creem (Armitage Labs OÜ, Rotermanni 14, 10111 Tallinn, Estonia), which acts as merchant of record. This means your purchase contract and payment are handled by Creem, which also charges any VAT and issues your invoice. Creem's buyer terms apply to the checkout and payment: https://www.creem.io/buyer-terms. SemProg is the author and provider of the content and is responsible for the product itself and for support. Where these terms and Creem's buyer terms conflict on payment, invoicing or refunds, Creem's buyer terms prevail.

2. Products / Produkte

We sell downloadable PDF guides (digital content not supplied on a physical medium). The content, page count and topic of each guide are described on the product page. The guides are presented by AI-generated characters; see section 8.

3. Prices and payment / Preise und Zahlung

Each guide costs €9.00 as a one-time payment. There is no subscription. Any VAT that applies in your country is calculated by Creem and shown at checkout before you pay. Payment methods are those offered by Creem at checkout.

4. Delivery / Lieferung

After successful payment, you get immediate access to the PDF download on the checkout confirmation page and by email from Creem. Nothing is shipped by post. If your download doesn't work, email support@semprog.de and we'll send you a working copy.

5. Licence / Nutzungsrecht

You receive a simple, non-transferable right to use the PDF for your own personal, non-commercial purposes, including printing it for yourself. You may not resell, share publicly, upload or redistribute the file or substantial parts of it. All rights remain with SemProg.

6. Right of withdrawal for consumers / Widerrufsrecht für Verbraucher

If you are a consumer in the EU, you generally have the right to withdraw from the contract within 14 days without giving any reason. The withdrawal period is 14 days from the day the contract is concluded.

Early expiry for digital content: For digital content not supplied on a physical medium, the right of withdrawal expires once performance has begun (the download is made available), provided that you (1) expressly consented at checkout to us starting performance before the end of the withdrawal period, (2) acknowledged that you thereby lose your right of withdrawal, and (3) received a confirmation of the contract including this consent (§ 356(5) BGB, Art. 16(m) Directive 2011/83/EU). If you did not give this consent and acknowledgement, the full 14-day withdrawal period applies.

If the right of withdrawal still applies, you can exercise it by sending a clear statement to Creem as merchant of record, using the contact options in your Creem order confirmation or Creem's buyer terms. You can also send it to us at support@semprog.de; we will forward it to Creem. It's enough to send your statement before the withdrawal period ends. If you withdraw, the payment is refunded through Creem using the original payment method within 14 days, at no cost to you.

7. Refunds and defects / Erstattungen und Mängel

Withdrawal and refund requests are handled by Creem as merchant of record; you can also email us at support@semprog.de and we will forward your request to Creem. If a file is faulty, incomplete, can't be opened or is materially different from its description, email support@semprog.de with your order ID. We'll first send a corrected file; if that doesn't fix the problem, you'll get a refund through Creem. Your statutory rights for defective digital products (§§ 327 ff. BGB) remain unaffected. Beyond your statutory rights, no additional voluntary refund period is offered.

8. AI characters and disclaimer / KI-Figuren und Haftungshinweis

The characters Kai Winter, Elsa Kern, Noor Hale, Tilda Moss and Mara Vale are AI-generated. They are not real people and not qualified professionals. The guides contain general information only and are not legal, tax, financial, medical, psychological or other professional advice. They don't replace advice about your individual situation from a lawyer, union, tax adviser, doctor or therapist. Laws and official rules change; facts are checked at the date stated in each guide, and we can't guarantee they're still current when you read them. You are responsible for decisions you make based on the guides.

9. Liability / Haftung

We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For slight negligence we are liable only for breach of essential contractual obligations (obligations whose fulfilment makes proper performance of the contract possible and on which you may regularly rely), limited to the foreseeable damage typical for this type of contract. Otherwise, liability for slight negligence is excluded.

10. Governing law and final provisions / Anwendbares Recht

These terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country where you habitually reside. If any provision is invalid, the remaining provisions remain in effect.

We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
